Deposit Refund Agreement

This Deposit Refund Agreement (this "Agreement") is entered into as of the date specified above (the "Effective Date") by and between the above-captioned customer(s) (the "Customer") and Trinity Heating & Air, Inc. d/b/a Trinity Solar ("Trinity Solar" and, collectively, the "Parties"). Reference is hereby made to that certain Contract (the "Solar Contract"), dated , by and between the Parties, with respect to the installation of a photovoltaic system at the Customer's site specified above (the "Site"). In the event that there is any discrepancy between the terms of this Agreement and the terms of the Solar Contract, the terms of this Agreement shall govern.

In exchange for the promises herein, each Party hereby agrees to release the other Party from the Solar Contract, which Solar Contract shall have no further effect, provided that the Customer shall not install or contract to install a photovoltaic system at the Site unless Trinity Solar is hired as the contractor to perform the work. Trinity Solar will refund to the Customer the deposit paid in the amount of $. The Customer shall not owe Trinity Solar any additional amount with respect to, and Trinity Solar shall have no further obligation pursuant to, the Solar Contract.

Each Party irrevocably releases the other Party from any claims, damages and liabilities arising on or before the Effective Date, which in any way pertain to the Solar Contract. This Agreement represents the entire agreement between the Parties and supersedes all prior negotiations, representations or agreements, either written or oral.
